Affiliate-Teilnahmebedingungen (English version below)

Als autorisierter Affiliate (Affiliate) der Strobelsystems GmbH erklären Sie sich damit einverstanden, die in dieser Vereinbarung (Vereinbarung) enthaltenen Bedingungen einzuhalten. Bitte lesen Sie die gesamte Vereinbarung sorgfältig durch, bevor Sie sich registrieren und Produkte der Strobelsystems GmbH als Affiliate bewerben.

Ihre Teilnahme am Programm dient ausschließlich dazu, unsere Produkte legal zu bewerben, um eine Provision für Produktverkäufe zu erhalten.

Indem Sie sich für das Strobelsystems GmbH Affiliate-Programm (Programm) anmelden, erklären Sie sich mit dieser Vereinbarung und ihren Bedingungen einverstanden.

Mit der Anmeldung zum Programm besätigen Sie, dass Ihnen eine Gewerbeanmeldung vorliegt und Sie vor der Auszahlung generierter Provisionen eine Handelsrechnung ausstellen können. Anderenfalls können keine Provisionen ausbezahlt werden.

Genehmigung oder Ablehnung des Antrags

Wir behalten uns das Recht vor, JEDEN Partnerprogrammantrag nach unserem alleinigen und absoluten Ermessen zu genehmigen oder abzulehnen. Sie haben keinen Rechtsbehelf gegen uns wegen der Ablehnung Ihres Affiliate-Programm-Antrags.

Provisionen und Auszahlung

Die Provisionen in Höhe von 10% auf den vom Affiliate generierten Nettoverkaufspreis werden einmal jährlich ausbezahlt (bis spätestens 31.01. des Folgejahres). Sie erhalten zur Auszahlung bis zum 15.01 des Folgejahres eine Email mit der Aufforderung zur Rechnungsstellung. Die Rechnungssumme ergibt sich aus der generierten Provision des Vorjahreszeitraums (01.01.-31.12.). Nach Erhalt Ihrer Rechnung zahlen wir den Betrag innerhalb von 14 Tagen an Sie aus.

Unterjährige Auszahlungen sind nach Absprache möglich. Hierfür erheben wir pro Auszahlung eine Gebühr i.H.v. 25,00€ netto. die vom Auszahlungsbetrag abgezogen wird.

Versandkosten unterliegen keiner Provision.

Sie können sich nicht selbst empfehlen, und Sie erhalten keine Provision auf Ihre eigenen Konten.

Zahlungen werden nur für Transaktionen gesendet, die erfolgreich abgeschlossen wurden. Transaktionen, die zu Rückbuchungen oder Rückerstattungen führen, werden nicht ausgezahlt.

Cookies bleiben 90 Tage lang zur Zuordnung Ihrer Vermittlung von Verkäufen gespeichert.

Kündigung

Ihr Partnerantrag und Ihr Status im Programm können aus einem der folgenden Gründe ausgesetzt oder beendet werden:

  • Unangemessene Werbung (falsche Behauptungen, irreführende Hyperlinks usw.).
  • Spamming (Massen-E-Mails, Massen-Newsgroup-Postings usw.).
  • Werbung auf Websites, die illegale Aktivitäten enthalten oder fördern.
  • Versäumnis, die Affiliate-Beziehung für eine Werbeaktion offenzulegen, die als Billigung gemäß den bestehenden Richtlinien und Vorschriften der Federal Trade Commission oder den geltenden staatlichen Gesetzen gilt.
  • Verletzung von Rechten an geistigem Eigentum.
  • Anbieten von Rabatten, Coupons oder anderen versprochenen Kickbacks aus Ihrer Affiliate-Provision als Anreiz. Das Hinzufügen von Boni oder das Bündeln anderer Produkte mit Terradix ist jedoch akzeptabel.
  • Selbstempfehlungen, betrügerische Transaktionen, vermuteter Affiliate-Betrug.

Darüber hinaus behält sich Terradix das Recht vor, jedes Affiliate-Konto jederzeit wegen Verstößen gegen diese Vereinbarung oder ohne Angabe von Gründen zu kündigen.

Sie können Grafik- und Textlinks sowohl auf Ihrer Website als auch in Ihren E-Mail-Nachrichten oder Social Media Beiträgen verwenden. Sie können die Terradix Website auch in Online- und Offline-Kleinanzeigen, Zeitschriften und Zeitungen bewerben.

Sie können die von uns bereitgestellten Grafiken und Texte verwenden oder Ihre eigenen erstellen, solange sie gemäß den Bedingungen als angemessen erachtet werden und nicht gegen die im Abschnitt Kündigung beschriebenen Bestimmungen verstoßen.

Der Affiliate ist verpflichtet, Affiliate-Links und sonstige Beiträge werblicher Art entsprechend der gesetzlichen Vorgaben zu kennzeichnen. Bei fehlender oder fehlerhafter Werbekennzeichnung haftet ausschließlich der Affiliate.

Haftung

Terradix haften nicht für indirekte oder zufällige Schäden (Umsatzeinbußen, Provisionen) aufgrund von Affiliate-Tracking-Fehlern, Verlust von Datenbankdateien oder Folgen von Schäden am Programm und/oder an unseren Websites.

Wir geben keine ausdrücklichen oder stillschweigenden Garantien in Bezug auf das Programm und/oder die von Terradix verkauften Mitgliedschaften oder Produkte. Wir erheben keinen Anspruch darauf, dass der Betrieb des Programms und/oder unserer Website(s) fehlerfrei ist, und wir haften nicht für Unterbrechungen oder Fehler.

Der Affiliate stellt die Strobelsystems GmbH und deren verbundene Unternehmen, leitende Angestellten, Direktoren, Mitarbeiter, Lizenznehmer, Nachfolger und Abtretungsempfänger, einschließlich derjenigen, die von Terradix zur Übertragung und Verteilung von Materialien lizenziert oder autorisiert wurden, von allen Verbindlichkeiten, Schäden, Bußgeldern, Urteilen, Ansprüchen, Kosten, Verlusten und Ausgaben (einschließlich angemessener Anwaltskosten und -kosten) frei, die sich aus oder im Zusammenhang mit allen Ansprüchen ergeben, die im Zusammenhang mit dieser Vereinbarung aufgrund der Fahrlässigkeit entstehen. Falsche Darstellung, Nichtoffenlegung oder vorsätzliches Fehlverhalten des Affiliates.

Laufzeit der Vereinbarung

Die Laufzeit dieser Vereinbarung beginnt mit Ihrer Aufnahme in das Programm und endet, wenn Ihr Affiliate-Konto gekündigt wird.

Die Bedingungen dieser Vereinbarung können von uns jederzeit geändert werden. Wenn eine Änderung der Bedingungen dieser Vereinbarung für Sie nicht akzeptabel ist, besteht Ihre einzige Wahl darin, Ihr Affiliate-Konto zu kündigen. Ihre fortgesetzte Teilnahme am Programm stellt Ihre Annahme jeder Änderung dar.

Elektronische Signaturen wirksam

Die Vereinbarung ist ein elektronischer Vertrag, der die rechtsverbindlichen Bedingungen Ihrer Teilnahme am Strobelsystems GmbH-Partnerprogramm festlegt. Sie erklären sich mit dieser Vereinbarung und allen in dieser Vereinbarung enthaltenen oder referenzierten Bedingungen einverstanden, indem Sie den Bewerbungsprozess abschließen. Durch diese Maßnahme wird eine elektronische Signatur erstellt, die die gleiche Rechtskraft und Wirkung wie eine handschriftliche Unterschrift hat.

Affiliate terms of participation (English Version)

As an authorized affiliate (Affiliate) of Strobelsystems GmbH, you agree to abide by the terms and conditions contained in this Agreement (Agreement). Please read the entire Agreement carefully before registering and promoting Strobelsystems GmbH products as an Affiliate.

Your participation in the program is solely for the purpose of legally promoting our products in order to receive a commission on product sales.

By signing up for the Strobelsystems GmbH Affiliate Program (Program), you agree to be bound by this Agreement and its terms.

By signing up for the Program, you confirm that you have a business registration and that you can issue a commercial invoice before paying out generated commissions. Otherwise, no commissions can be paid out.

Approval or rejection of the application

We reserve the right to approve or deny ANY Affiliate Program Application in our sole and absolute discretion. You have no legal recourse against us for the rejection of your Affiliate Program Application.

Commissions and payment

The commissions in the amount of 10% on the net sales price generated by the affiliate are paid out once a year (by 31.01. of the following year at the latest). You will receive an email for payment by 15.01 of the following year with the request for invoicing. The invoice amount results from the generated commission of the previous year (01.01.-31.12.). After receiving your invoice, we will pay the amount to you within 14 days.

Payments during the year are possible by arrangement. For this we charge a fee of 25,00€ net per payout, which will be deducted from the payout amount.

Shipping costs are not subject to commission.

You cannot refer yourself and you will not receive commission on your own accounts.

Payments will be sent only for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid.

Your current balance is viewable in your login area.

Cookies are stored for 90 days for attribution of your referral of sales.

Cancellation

Your affiliate application and status in the program may be suspended or terminated for any of the following reasons:

Inappropriate advertising (false claims, misleading hyperlinks, etc.).

Spamming (mass emails, mass newsgroup postings, etc.).

Advertising on websites that contain or promote illegal activities.

Failure to disclose the affiliate relationship for a promotion that is considered an endorsement under existing Federal Trade Commission guidelines and regulations or applicable state laws.

Violation of intellectual property rights.

Offering discounts, coupons or other promised kickbacks from your affiliate commission as an inducement. However, adding bonuses or bundling other products with Terradix is acceptable.

Self-referrals, fraudulent transactions, suspected affiliate fraud.

In addition, Terradix reserves the right to terminate any affiliate account at any time for violations of this agreement or without cause.

You can use graphic and text links both on your website and in your email messages or social media posts. You may also promote the Terradix website in online and offline classified ads, magazines and newspapers.

You may use graphics and text provided by us or create your own as long as they are deemed appropriate under the Terms and do not violate the terms described in the Termination section.

Advertising labeling

The Affiliate is obliged to mark affiliate links and other contributions of an advertising nature in accordance with the legal requirements. In the event of missing or incorrect advertising labeling, the Affiliate shall be exclusively liable

Liability

Terradix shall not be liable for any indirect or incidental damages (lost sales, commissions) due to affiliate tracking errors, loss of database files, or consequences of damage to the Program and/or our websites.

We make no warranties, express or implied, with respect to the Program and/or the memberships or products sold by Terradix. We make no claim that the operation of the Program and/or our website(s) will be error-free, and we shall not be liable for any interruptions or errors.

Affiliate shall indemnify, defend and hold harmless Strobelsystems GmbH and its affiliates, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Terradix to transmit and distribute materials, from and against any and all liabilities, damages, fines, judgments, claims, costs, losses and expenses (including reasonable attorneys‘ fees and costs) arising out of or in connection with any claim arising in connection with this Agreement due to the negligence. Misrepresentation, non-disclosure or willful misconduct by Affiliate.

Duration of the agreement

The term of this agreement begins when you join the program and ends when your affiliate account is terminated.

The terms of this Agreement may be modified by us at any time. If a change to the terms of this Agreement is not acceptable to you, your only choice is to terminate your Affiliate Account. Your continued participation in the Program constitutes your acceptance of any change.

Electronic signatures effective

The Agreement is an electronic contract that sets forth the legally binding terms and conditions of your participation in the Strobelsystems GmbH Affiliate Program. You agree to this Agreement and all terms and conditions contained or referenced in this Agreement by completing the application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
